Sale agreement, warranties & conditions
We coordinate transaction documentation with legal and tax advisors: sale and purchase agreement, disclosure letter, asset and liability warranties, price mechanism (locked box or completion accounts).
We monitor conditions precedent — regulatory approvals, third-party consents, required consultations — through to the satisfaction of all conditions and final signing.
The closing phase includes a light integration preparation — identifying operational priorities and key responsibilities — to ensure the transfer of control takes place without operational disruption. A dedicated integration advisory is available on request.
